These Terms & Conditions apply to the use of the Mindd website and, where applicable, to services provided by Mindd, operated by WeMindd B.V. These website terms are intended as a readable online version and summary. For client assignments, offers, quotations, agreements and deliveries, Mindd’s full General Terms & Conditions apply.
1. Company information
Mindd is operated by WeMindd B.V., registered with the Chamber of Commerce in Amsterdam, The Netherlands, under number 59812532.
In these Terms & Conditions, “Mindd”, “we”, “us” and “our” refer to WeMindd B.V.
2. Applicability
These Terms & Conditions apply to your use of our website and digital content.
For offers, quotations, agreements, assignments, deliveries and services provided by Mindd, the General Terms & Conditions of WeMindd B.V. apply.
These General Terms & Conditions apply to all offers, quotations, agreements and assignments offered by or concluded with Mindd.
3. Use of the website
You may use the Mindd website for lawful purposes only.
You must not:

Mindd provides services including strategy, events and digital tools that support conscious choices, personal agency and self-directed growth.
The exact scope, pricing, planning and deliverables of services will be agreed separately in writing, such as in a quotation, proposal, agreement or assignment confirmation.
6. Offers and agreements
Agreements with Mindd are binding only when confirmed or accepted in writing by Mindd, unless otherwise agreed.
Administrative and writing errors may be corrected.
7. Pricing and payment
Unless stated otherwise, prices are exclusive of VAT and other government levies.
Invoices issued by Mindd must be paid within 30 days of the invoice date, unless otherwise agreed in writing.
If payment is not made on time, additional interest and collection costs may apply in accordance with Mindd’s General Terms & Conditions.
8. Delivery and timelines
Mindd makes reasonable efforts to deliver services and materials according to agreed timelines.
Unless explicitly agreed otherwise, delivery or completion times are approximate and not binding.
9. Client cooperation
Clients must provide the information, materials, approvals and cooperation reasonably required for Mindd to perform its services.
If the client does not cooperate or does not provide required materials on time, this may affect timelines, costs and delivery.
10. Intellectual property
Unless agreed otherwise in writing, all intellectual property rights in concepts, designs, drawings, models, data files, materials, tools, content and other work created by Mindd remain owned by Mindd.
After delivery and payment, the client receives a non-exclusive right to use the delivered work for its normal intended use, unless otherwise agreed in writing.
The materials delivered by Mindd may not be reproduced, published or otherwise used outside the agreed purpose without written permission from Mindd.
11. Third-party services and hosting
Mindd may use or mediate third-party services, including internet, domain or data hosting services.
Where third-party providers are involved, their own contractual terms, conditions and policies may apply.
Mindd is not responsible for failures, availability issues or performance problems caused by third-party providers, except where mandatory law provides otherwise.
12. Liability
To the maximum extent permitted by law, Mindd is not liable for indirect damage, consequential damage, loss of profit, immaterial damage or damage caused by third-party services.
Where Mindd is liable, liability is limited in accordance with Mindd’s General Terms & Conditions, including limits related to insurance coverage and the net invoice value of the relevant delivered goods or services.
13. Complaints
Any complaint about delivered work or invoices must be submitted to Mindd in writing and with reasons within the applicable period stated in Mindd’s General Terms & Conditions.
14. Privacy
Mindd handles personal data in accordance with its Privacy Policy.
15. Governing law and disputes
The relationship between Mindd and the client is governed exclusively by Dutch law.
All disputes are subject to the judgment of the competent court in Amsterdam, The Netherlands.
16. Changes to these Terms & Conditions
We may update these Terms & Conditions from time to time. The latest version will be published on our website with the updated date.
